TLDR

Carta is an equity management platform that lets employees track their equity, and exercise options directly through their account.

As startup equity becomes a more significant part of compensation, managing and tracking it effectively is crucial. That’s where an equity portal like Carta comes in. Carta is a top choice for startups and employees alike, simplifying the process of managing stock options, keeping track of valuations, and making informed decisions about exercising shares. Here’s an in-depth look at what Carta offers and how it can help employees make the most of their equity.

What is Carta?

Carta is an equity management platform that helps private companies manage their cap tables, issue stock options, and give employees a portal to view and manage their equity.

For many startups, equity portals have become essential tools for transparency and communication around stock-based compensation. By offering a centralized place for equity-related information, employees can access details like vesting schedules, grant information, Fair Market Value (FMV), and even exercise options directly.

Carta stands out as one of the most popular equity portals, known for its intuitive user interface and comprehensive features.

What Makes Carta Unique?

Carta has quickly become a leader in the equity management space, trusted by thousands of startups to manage and administer their equity plans. Here are some of the main reasons why Carta is such a valued tool:

  • 409A Valuations: Carta is known for its 409A valuation services, which help determine the Fair Market Value of a private company’s stock. Regular 409A valuations ensure that employees have a realistic, up-to-date view of their options’ value.
  • User-Friendly Interface: Carta's user interface is highly praised for its simplicity and ease of use, making it straightforward for employees at all levels of experience to navigate and understand their equity holdings.
  • Industry Leadership: Carta has built a reputation as a leader in equity management, providing services to many high-growth companies and setting the standard for equity portals in the startup world.

What Can Employees Do on Carta?

Carta offers a range of features that help employees manage their equity. Here’s a breakdown of what you’ll find in key sections of the platform.

The Portfolio View

The Portfolio view in Carta provides an overview of your entire equity portfolio, including stock options, grants, and other holdings. It’s designed to give you a snapshot of where your equity stands.

  • Broad Grant Information: This view summarizes your option grants, including the number of options, grant dates, and current status.
  • Current Fair Market Value (FMV): Carta shows the current FMV of your shares, as determined by the latest 409A valuation, giving you an idea of the potential value of your holdings.

The Holdings Tab

The Holdings tab dives deeper into your stock options and equity details. It’s a valuable resource for understanding the specifics of your grants.

  • Option Information: You can view essential details about each option grant, such as the grant date, vesting schedule, strike price, and related documents.
  • Current Vesting: See a real-time view of your vesting progress, including how much of your grant is vested and how much is still pending.

The Holdings tab provides essential information for employees who want to plan around their vesting schedules and understand their stock option agreements.

The Exercise Simulator Tab

The Exercise Simulator is one of Carta’s most powerful tools, helping employees make informed decisions about exercising their stock options. Most importanly it will show your stock option taxes.

  • Current FMV: The simulator pulls in the current FMV to calculate the potential value of your options if exercised.
  • AMT Estimate for ISOs: For employees with Incentive Stock Options (ISOs), the simulator provides an estimated Alternative Minimum Tax (AMT) calculation, helping you prepare for the tax implications of exercising.
  • Tax Withholding for NSOs: The simulator also includes estimated tax withholding amounts for Non-Qualified Stock Options (NSOs). However, keep in mind that these estimates may not match your final tax obligations when filing.
  • How to Optimize for No AMT: Carta allows you to explore different scenarios for exercising your options, which can help you avoid or minimize AMT. For a deeper look, check out ESO Fund’s guide to optimizing for no AMT here.

The Exercise Simulator is particularly useful for employees who want to balance potential gains with tax efficiency, providing projections to help guide these important financial decisions.

Other Helpful Features

Beyond the basics, Carta offers additional features that provide further insights and resources:

  • FMV History: Employees can request the historical FMV data from their stock option administrator, which can be helpful for tracking how the company's valuation has changed over time.
  • Rule 701 Financials: Carta allows access to Rule 701 financials, which are required disclosures for employees holding company stock options. These financials can provide insights into the company’s financial performance and outlook. These can be fund in your 'Inbox' on the portal.

How to Access Carta

Getting into Carta for the first time is straightforward, but the process is a little different from signing up for a typical app, your company controls the invitation.

  • Invitation email: When your company sets up your equity grant in Carta, you'll automatically receive an invitation email from Carta prompting you to create an account. Check your inbox (and spam folder) for an email from carta.com.
  • Login URL: Once your account is created, you can log in at app.carta.com. Bookmark this, it's the only place you'll manage your equity on desktop.
  • Account setup: Follow the invitation link, create a password, and verify your identity. The process typically takes a few minutes.

Can't access your account? Contact your company's HR or equity administration team first, they control access and can resend your invitation or troubleshoot permission issues on their end. Carta's own support team will often refer you back to your employer for grant-specific questions.

Mobile app: Carta has a mobile app for both iOS and Android, which lets you check your vesting progress, grant details, and portfolio value on the go. It covers the core features you'd use day-to-day without needing to log in on a computer.

One important note: Your Carta account is tied to the company that invited you. If you've worked at multiple startups that use Carta, you may end up with separate portfolios, one per company, each accessible from the same login.

Carta vs. Shareworks: How Do They Compare?

Carta and Shareworks are the two most common equity portals at private startups, and the employee experience between them is noticeably different.

Interface: Carta is the more modern and visually intuitive of the two. Shareworks is more feature-dense, which can feel cluttered until you know where to look.

Exercise simulator: Both platforms let you model the cost of exercising your options. Carta surfaces AMT estimates for ISOs and tax withholding for NSOs directly in the tool; Shareworks offers similar functionality but buries it a bit deeper.

Portfolio visibility: Carta leads with your current equity value on the main dashboard. On Shareworks, that information takes more clicks to find.

Mobile: Carta has a dedicated iOS and Android app. Shareworks does not.

Carta Shareworks
Interface Modern, visual Feature-dense
Exercise simulator Yes, with tax estimates Yes
Mobile app Yes (iOS & Android) No dedicated app
Portfolio value visibility Prominent Available, less prominent

Your company chooses the platform, not you. But if you've used both, or are switching jobs and landing on an unfamiliar portal, our Shareworks guide covers it in the same depth as this one.
